Seven & i Holdings abandons Żabka deal as talks fail to reach terms
The Japanese retailer ends negotiations to acquire a stake in Żabka, one of the largest convenience chains in Central and Eastern Europe, citing inability to agree terms with the seller.
The Japanese retail group Seven & i Holdings, owner of the 7-Eleven chain, has ended talks to acquire a stake in Grupa Żabka. The company announced on Saturday, 25 July, that it had been unable to reach an agreement with the seller on terms it considered satisfactory for its shareholders.
The company was unable to reach an agreement with the seller on terms that it believed would be in the best interest of Seven & i Holdings shareholders and other partners.
The negotiations had been reported since mid-July, when the Japanese business daily Nikkei said final talks were under way for a purchase of several dozen percent of the shares from investment funds and other holders. Unofficial estimates put the possible price at several hundred billion yen (1 billion yen equal to approximately 23.2 million PLN). Despite the failure, Seven & i stated that Europe remains an attractive growth opportunity and it will continue to assess prospects in the region.
Grupa Żabka is registered in Luxembourg but managed from Poznań and listed on the Warsaw Stock Exchange since October 2024. Its largest shareholder is CVC Capital Partners, with a 37.6% stake, followed by PG Investment Company at 10%. At the end of March 2026 the chain operated 12,750 outlets.
