
Advent and Stripe abandon 53 billion dollar takeover pursuit of PayPal
A consortium of Advent International and Stripe has abandoned its proposed $53 billion acquisition of PayPal after the fintech board rejected an initial $60.50 per share offer.

A private equity consortium led by Advent International and financial technology firm Stripe has ended its pursuit of PayPal Holdings Inc. The suitor group had made an acquisition proposal of $60.50 per share in July, representing an enterprise valuation of approximately $53 billion, or more than €43 billion. PayPal's board of directors evaluated the proposal and determined that the preliminary purchase price was insufficient. The parties held follow-up negotiations over a potentially higher valuation before Advent and Stripe decided to withdraw from the process. Representatives for San Jose-based PayPal, Advent International, and Stripe all declined to comment on the decision to halt discussions.

Valuation and market reaction
PayPal shares dropped by 13% to $53.20 in premarket trading on Friday morning after closing the previous session at $61.47. During early morning trading, the stock experienced declines reaching as much as 16%, alongside a 14% slide on the alternative trading platform Blue Ocean. The proposed transaction would have ranked as one of the largest leveraged buyouts in corporate history. PayPal's valuation had climbed to roughly $360 billion during the height of pandemic-related online commerce in 2021 before losing market value as shoppers returned to physical stores. Driven by takeover discussions and second-quarter earnings that surpassed analyst forecasts, PayPal stock had gained more than 40% over the quarter, bringing its market capitalization to $52.6 billion immediately prior to the deal's termination.

Operational overhaul under Enrique Lores
PayPal has faced sustained competitive pressure from technology companies Apple and Alphabet, whose digital wallet integrations inside mobile operating systems have reduced PayPal's payment market share. The company responded to declining margins with management changes and workforce reductions, eventually ousting former chief executive Alex Chriss earlier this year. Enrique Lores assumed the chief executive position in March and initiated an operational restructuring across all business lines. In April, PayPal separated its operations into three distinct divisions focused on checkout services, consumer financial platform Venmo, and payments and cryptocurrency. Lores subsequently lifted the company's 2026 profit outlook, assigned individual revenue targets to each business division, and altered the format of financial reporting to provide clearer visibility into operating unit performance.
Strategic realignment at Stripe
Stripe, founded by Patrick and John Collison, initially explored acquiring parts or all of PayPal in February when PayPal's market value had dropped to $40 billion. A transaction would have enabled Stripe to integrate PayPal's Venmo checkout technology and crypto assets while diminishing its reliance on card networks Visa and Mastercard. Although the current negotiations have ended, Advent and Stripe could revisit a potential transaction at a later date if market conditions evolve. In the interim, Stripe has expanded its footprint in artificial intelligence infrastructure by agreeing to acquire New York-based OpenRouter earlier this month. Founded in 2023 and valued at $1.3 billion in a funding round earlier this year, OpenRouter operates an access gateway connecting software developers to hundreds of AI models.
